- You have the legal capacity and authority to enter into binding agreements

- You have read, understood, and agree to be bound by these Terms and Conditions
3. Service Description
veroqasas provides strategic business consulting services including:
- Brand Positioning Workshops to clarify market positioning and messaging
- Customer Experience Strategy engagements to enhance customer touchpoints
- Board Strategy Facilitation for strategic planning and governance
Specific service details, deliverables, timelines, and fees are outlined in individual engagement agreements. Services are subject to availability and may be modified or discontinued at our discretion with appropriate notice to existing clients.
4. Client Responsibilities
Clients engaging our services agree to:
- Provide accurate and complete information necessary for service delivery
- Make key personnel available for scheduled sessions and meetings
- Review and provide feedback on deliverables within agreed timeframes
- Maintain confidentiality of proprietary methodologies and frameworks shared
- Use consulting deliverables solely for internal business purposes
- Comply with all applicable laws and regulations in your jurisdiction
- Pay all fees in accordance with agreed payment terms
5. Intellectual Property

5.2 License to Clients: Upon full payment, clients receive a limited, non-exclusive, non-transferable license to use consulting deliverables for their internal business purposes only. This license does not permit resale, distribution, or commercial exploitation of our work.
5.3 Client Materials: You retain ownership of materials and information you provide. By sharing information with us, you grant us a license to use it solely for the purpose of delivering consulting services.
6. Payment Terms
6.1 Fees: Service fees are specified in individual engagement agreements. All prices are quoted in Thai Baht unless otherwise agreed.
6.2 Payment Schedule: Payment terms vary by service type. Brand Positioning Workshops typically require 50% payment upon booking and 50% upon completion. Customer Experience Strategy and Board Facilitation engagements follow schedules outlined in engagement agreements.
6.3 Late Payment: Invoices not paid within agreed terms may incur late payment fees of 1.5% per month or the maximum permitted by law, whichever is lower. We reserve the right to suspend services for accounts in arrears.
6.4 Expenses: Unless otherwise agreed, fees do not include travel, accommodation, or other expenses incurred for service delivery. Such expenses will be billed separately with supporting documentation.
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation extends beyond the engagement term unless information becomes publicly available through no fault of the receiving party or is required to be disclosed by law.
Confidential information includes business strategies, financial data, customer information, proprietary methodologies, and any information designated as confidential. We will not use client case studies or testimonials without explicit written permission.
8. Disclaimers
8.1 Professional Advice: Our consulting services provide strategic guidance based on our professional experience and analysis. They do not constitute legal, financial, or tax advice. Clients should consult appropriate licensed professionals for such matters.
8.2 No Guarantees: While we strive to deliver high-quality consulting services, we do not guarantee specific business outcomes, revenue increases, or other results. Success depends on many factors beyond our control, including client implementation and market conditions.
8.3 Service Availability: Our website and services are provided on an "as is" and "as available" basis. We do not warrant uninterrupted access or error-free operation.
9. Limitation of Liability
To the maximum extent permitted by law, veroqasas's liability for any claims arising from our services is limited to the total fees paid by the client for the specific engagement giving rise to the claim.
We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.
Some jurisdictions do not allow limitations on implied warranties or liability for incidental damages. In such jurisdictions, our liability is limited to the extent permitted by law.
10. Termination
10.1 By Client: Clients may terminate engagements with 14 days written notice. Fees for work completed to the termination date remain due, along with any expenses incurred.
10.2 By veroqasas: We may terminate engagements immediately if a client breaches these Terms, fails to make payments, or if continuing the engagement would violate professional standards or legal requirements.
10.3 Effect of Termination: Upon termination, clients must pay all outstanding fees and expenses. Confidentiality obligations and intellectual property provisions survive termination.
11. Dispute Resolution
11.1 Governing Law: These Terms are governed by the laws of Thailand. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.
11.2 Informal Resolution: Before initiating formal proceedings, parties agree to attempt good-faith negotiations to resolve disputes amicably.
11.3 Mediation: If informal resolution fails, parties may agree to mediation before a mutually acceptable mediator in Bangkok.
12. General Provisions
12.1 Entire Agreement: These Terms, together with any engagement agreements, constitute the entire agreement between parties regarding our services.
12.2 Severability: If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect.
12.3 Waiver: Failure to enforce any right or provision does not constitute a waiver of future enforcement.
12.4 Assignment: Clients may not assign or transfer rights under these Terms without our written consent. We may assign our rights to affiliates or successors.

13. Changes to Terms
We may update these Terms periodically to reflect changes in our practices, services, or legal requirements.
